9.3GoverningLaw;Jurisdiction.ThisAgreementisgovernedbyUSAandDelawarelawwithoutregardtoconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoodsdoesnotapply.Exceptforclaimsformisappropriationoftradesecretsorbreachofconfidentialityobligations,alldisputesandactionsarisingoutoforrelatedtothisAgreementaresubjecttotheexclusivejurisdictionofthestateandfederalcourtsinWilmington,Delawareandyouconsenttopersonaljurisdictioninthosecourts.

9.4CompliancewithLaws.TheMaterialsaresubjecttoexportcontrolsunderapplicablegovernmentlawsandregulations,includingintheU.S.Youmustcomplywithapplicablelawsandregulations,includingU.S.andworldwideexportregulations.Youmustnotexport,import,ortransfertheMaterialstoanyprohibitedorsanctionedcountry,person,orentity.YoumustnotusetheMaterialsforthedevelopment,design,manufacture,orproductionofnuclear,missile,chemical,orbiologicalweapons.

9.5Severability.IfacourtholdsaprovisionofthisAgreementunenforceable,thecourtwillmodifythatparttotheminimumextentnecessarytomakethatpartenforceableor,ifnecessary,toseverthatpart.Therestoftheprovisionremainsfullyenforceable.

9.6Waiver.NowaiverofanyprovisionofthisAgreementwillbevalidunlessinawritingsignedbyanauthorizedrepresentativeofthewaivingpartythatspecifiesthewaivedprovision.Thatsignedwaiverwillnotconstituteawaiverofanyotherprovision.Aparty’sfailureordelayinenforcinganyprovisionwillnotoperateasawaiver.

9.7EntireAgreement.Exceptforanynon-disclosureagreementbetweenyouandIntel,thisAgreementconstitutestheentireagreement,andsupersedesallprioragreements,betweenIntelandYouconcerningitssubjectmatter.
